5 Client Responsibilities

To enable us to deliver Services effectively, the Client agrees to:

• Provide timely access to relevant platforms (e.g., website CMS, Google Analytics, Google Search Console, hosting/server access)
• Provide accurate business information required for content, compliance, and strategy purposes
• Review and approve deliverables within agreed timeframes
• Make payments in accordance with the agreed schedule
• Not hold SEONestly liable for pre-existing website issues, technical debt, or third-party actions outside our engagement scope

6 Fees and Payment

• Fees for Services will be as set out in the applicable proposal, invoice, or SOW.
• Payments are due within the timeframe specified on the invoice, unless otherwise agreed in writing.
• Late payments may result in suspension of Services until outstanding amounts are settled.
• All fees are exclusive of applicable taxes (e.g., GST), which will be added where applicable.
• Refunds, where applicable, will be governed by the terms of the specific service agreement.

7 Intellectual Property

• All content on the Website (including text, graphics, logos, and design) is the property of SEONestly and protected under applicable intellectual property laws, unless otherwise stated.
• Deliverables created specifically for a Client under a paid engagement (e.g., content, reports, strategy documents) will transfer to the Client's ownership upon full payment, unless otherwise agreed in the SOW.
• SEONestly retains the right to use anonymised or aggregated results, case studies, and general methodologies (excluding confidential Client data) for portfolio, marketing, or promotional purposes, unless the Client opts out in writing.
• You may not copy, reproduce, or redistribute content from this Website without our prior written consent.

8 Confidentiality

Both parties agree to keep confidential any proprietary, business, or technical information shared during the course of the engagement, and not to disclose such information to third parties without prior written consent, except as required by law.

9 Third-Party Tools and Services

Our Services may involve the use of third-party platforms and tools, including but not limited to Google Analytics, Google Search Console, Ahrefs, SEMrush, and Moz. We are not responsible for the availability, accuracy, or changes made by these third-party providers, including changes to their algorithms, pricing, or terms of service that may affect Service delivery.

10 Limitation of Liability

To the maximum extent permitted by applicable law:

• SEONestly shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, data, or business opportunities, arising from the use of our Services or Website.
• Our total liability for any claim arising out of or relating to the Services shall not exceed the total fees paid by the Client for the specific Service giving rise to the claim in the preceding three (3) months.
• We are not liable for penalties, ranking drops, or traffic loss resulting from search engine algorithm updates, manual actions imposed by search engines due to pre-existing website issues, or actions taken by the Client or third parties outside our control.s

10 Website Use Restrictions

When using our Website, you agree not to:

• Use the Website for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorised access to our systems or data
• Introduce viruses, malware, or other harmful code
• Scrape, copy, or reproduce Website content without permission

12 Termination

Either party may terminate a service engagement in accordance with the notice period specified in the applicable SOW or service agreement. Upon termination:

• The Client remains responsible for payment of Services rendered up to the termination date
• Access to platforms and deliverables will be handled as per the terms of the specific agreement
• Confidentiality obligations survive termination

We reserve the right to suspend or terminate access to the Website for any user who violates these Terms.

13 Indemnification

You agree to indemnify and hold harmless SEONestly, its employees, and affiliates from any claims, damages, liabilities, or expenses (including legal fees) arising from your breach of these Terms, misuse of the Website, or violation of applicable law.

14 Governing Law and Jurisdiction
